This Agreement sets forth the terms and conditions that apply to the Retail Merchant during its tenure of being associated with WVALUE MARTECH PRIVATE LIMITED(hereinafter “the Company”) as a retail merchant.
Whistle (owned and operated by WVALUE MARTECH PRIVATE LIMITED is engaged in the business of digital marketing including but not limited to programmatic marketing, mobile marketing through its Platform “Whistle”.
The Retail Merchant herein is having a retail store offering a variety of retail services to its customers.
The Company has launched a new referral program application “Retail Merchant” and wishes to expand its services and make its service available to the retail crowd. For this expansion, the Company wishes to associate with the Merchant and the Merchant is willing to enter this association.

TERMS AND CONDITIONS:

• The Company is running a Referral Program to acquire new users through the retail channel.
• The Company shall be providing the Merchant / Retailer with a QR Code which shall be placed at a convenient spot at the retail store of the Merchant which shall be visible to the customers.
• This QR Code will help the user to download the “RETAIL MERCHANT” mobile application. Once the App is downloaded, the user can enter his details register himself on the App. Post registration, the use can share the deals and offers available on the App with their contacts.
• The Retail Merchant shall enlighten its customers about the “Retail Merchant” application and the benefits the user will get from the program.
• Once the user successfully downloads the “Retail Merchant” application and shares the deals from the App, the retail merchant shall be eligible for a commission. The amount can be withdrawn from the merchant app and would be settled by the Company to the Merchant within 24 Hours TAT.
• All the Merchants/ Retailers must complete the KYC before withdrawing the earned commission. The KYC would be done digitally. Retailers / Merchants are not requested to share any physical KYC documents to anyone.
• The Commission shall be paid to the Merchant / Retailer post the deduction of TDS and/or other applicable taxes.
• The earned commission shall be paid only to the account / UPI which are updated at the time of KYC.
• Mere downloading the App by new user will not make the Retail Merchant eligible for any commission. Only sharing of any deals and offers running on the App shall make the Retail Merchant eligible.
• Retailer/ Merchants shall be eligible for the commission only for New Users*, referred by the Retailer/ Merchant.
• *To clarify, a new user is an applicant who downloads the “Retail Merchant” app for the first time.
• The Retail Merchant shall not adopt any unfair practices and not force the customer to download the App.
• The Retail Merchant shall not misuse the QR Code under any circumstances. The QR code shall be placed by the Company only for the purpose of inviting new customers for downloading and sharing deals through the App
• The QR Code shall be placed with the Retail Merchant for a duration to be mutually agreed upon.
• The Retail Merchant will be disqualified by the Company and the QR Code to be immediately removed by the Company if any instance of misappropriation of the same is found.
• The Company shall not be held responsible for any act or misrepresentation carried on by the Retail Merchant for which the user suffers any penalty and/or charges.
• The Company at its discretion may use the personal details including but not limited to the name, contact number, e-mail address for the purpose of intimating the user about new offers/ promotions.
